Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Quantum Fabric platform operated by Poor Dude Holdings LLC ("Company"). By subscribing or using our API you agree to these Terms.

1. Service Description

The Quantum Fabric platform provides post-quantum cryptographic inventory scanning, risk scoring, migration planning, and AI-powered threat intelligence via a REST API. Services are provided on a subscription basis.

2. Account and API Keys

• You are responsible for keeping your API key confidential. Do not share it or commit it to source control.
• You are responsible for all activity under your API key.
• Report compromised keys immediately to admin@poordudeholdings.com; we will rotate them at no charge.

3. Acceptable Use

You may not use the platform to:

• Conduct unauthorized security testing against third-party systems
• Circumvent rate limits or resell API access
• Violate any applicable law or regulation
• Attempt to reverse-engineer the platform or extract proprietary algorithms

4. Subscription and Billing

• Subscriptions renew monthly. You may cancel at any time; access continues until the end of the paid period.
• 14-day free trial is available for Starter and Professional tiers. No charge until trial ends.
• Payment failures result in a notification email. After 3 consecutive failures, access is suspended until payment resolves.
• All prices are in USD and exclude applicable taxes.

5. Service Level

Enterprise customers receive a 99.5% monthly uptime SLA. Starter and Professional plans have best-effort availability. Scheduled maintenance is announced 48 hours in advance.

6. Data Ownership

You retain full ownership of data you submit to the platform. We do not use your security scan results for any purpose other than providing the service.

7. Intellectual Property

The Quantum Fabric platform, including its algorithms, source code, and patent-pending cryptographic methods, is the exclusive property of Poor Dude Holdings LLC. Patent Pending — Matthew P. Goodman, February 2026.

8. Limitation of Liability

To the maximum extent permitted by law, the Company's total liability is limited to fees paid in the 3 months preceding the claim. The platform is a decision-support tool; security decisions remain your responsibility.

9. Termination

We may suspend or terminate access for violation of these Terms, non-payment, or actions that harm other customers or the platform.

10. Governing Law

These Terms are governed by the laws of the United States. Disputes shall be resolved by binding arbitration under AAA Commercial Rules.
